Terms of Service

Important: Please read these Terms carefully. They contain binding legal obligations and limitations of liability that affect your rights. By creating an account, clicking “I agree”, connecting Stripe, or using any part of the QMetrics platform, you accept these Terms on behalf of yourself and any business you represent.

1. Parties and agreement

1.1 These Terms of Service (“Terms”) are a legally binding contract between you (“you”, “Merchant”, “User”) and the operator of the QMetrics platform (“QMetrics”, “we”, “us”, “our”), governing access to and use of the QMetrics website, dashboards, APIs (if any), hosted payment pages, and related services (collectively, the “Service”).

1.2 If you register on behalf of a company, partnership, or other entity, you represent that you have authority to bind that entity, and “you” includes that entity and its affiliates, directors, officers, employees, contractors, and agents.

1.3 If you do not agree to these Terms, you must not use the Service.

2. Definitions

2.1 “Customer” means any person who pays you through the Service.

2.2 “Platform Fee” means the fee QMetrics charges on successful Customer payments, collected via Stripe Connect application fees or other lawful means.

2.3 “Processing Volume” means the aggregate value of payments marked as succeeded in our systems for your account during a calendar month, as calculated by QMetrics in its sole discretion.

2.4 “Stripe” means Stripe, Inc. and its affiliates, which provide payment processing and Connect services under separate agreements with you.

2.5 “Merchant Content” means your business name, handle, offerings, descriptions, prices, images, and any other material you submit or display through the Service.

3. Nature of the Service

3.1 Technology provider only. QMetrics provides software and hosting tools that help Merchants present payment options and initiate payments through Stripe Connect. QMetrics is not a bank, credit institution, e-money institution, payment institution, money services business, escrow agent, trustee, insurer, or financial adviser.

3.2 No custody of funds. QMetrics does not receive, hold, transmit, or control Customer funds. Funds flow between Customers, Stripe, and your connected Stripe account according to Stripe’s rules.

3.3 No agency. Except as expressly stated, QMetrics is not your agent, partner, joint venturer, or fiduciary. We do not act on your behalf in negotiations with Customers, regulators, or Stripe.

3.4 No guarantee of results. We do not guarantee any level of sales, conversion, uptime, fee tier, payout timing, or business outcome.

4. Eligibility

4.1 You must be at least 18 years old (or the age of majority in your jurisdiction) and legally able to enter contracts.

4.2 You must provide accurate registration information and keep it current.

4.3 You must not be located in, organised in, or conduct business with persons in jurisdictions subject to comprehensive sanctions or export restrictions, or on any restricted-party list.

4.4 We may refuse registration, suspend, or terminate any merchant account at any time, for any reason or no reason, with or without notice, to the fullest extent permitted by law — including where we deem your activity suspicious, high-risk, or harmful (see Section 17).

5. Account registration and security

5.1 You are solely responsible for safeguarding login credentials, API keys (if issued), and access to your devices.

5.2 You must notify us promptly of any unauthorised access or security incident affecting your account.

5.3 All activity under your account is deemed authorised by you unless you prove otherwise to our reasonable satisfaction. You remain liable for Platform Fees, chargebacks, and third-party claims arising from account use.

5.4 We may require additional verification, documentation, or re-authentication at any time.

6. Stripe Connect and third-party services

6.1 Separate relationship. Use of payment features requires a Stripe Connect account subject to Stripe’s terms, policies, and privacy notices. Your relationship with Stripe is independent of QMetrics.

6.2 No liability for Stripe. QMetrics is not responsible for Stripe’s acts, omissions, outages, fund holds, reserves, account limitations, onboarding decisions, fraud tools, pricing, or compliance actions. Any dispute with Stripe is solely between you and Stripe.

6.3 Onboarding. You must complete Stripe onboarding truthfully, including identity and bank details. Incorrect country or business information may delay or prevent payouts; QMetrics is not liable for resulting losses.

6.4 Third-party links. The Service may reference third-party sites or tools. We do not endorse or assume liability for them.

6.5 Direct payments through Stripe. Customer payments are processed by Stripe and paid to your connected Stripe account. QMetrics does not receive, hold, or disburse Customer funds. We are not a payment intermediary, escrow agent, or money transmitter in respect of Customer payments.

7. Platform fees, trials, and volume tiers

7.1 Fee structure. Unless you are in an active promotional free trial period, QMetrics charges a Platform Fee on each successful Customer payment via Stripe Connect application fees (or equivalent). Current automated volume tiers (calendar month, succeeded payments only) are published on our website and may include:

  • Processing Volume under $5,000: 3.0%
  • $5,000 to $9,999.99: 2.0%
  • $10,000 or more: 1.0%

7.2 Calculation. Tiers are determined from Processing Volume in the current calendar month before the payment being charged, based on our records. Thresholds use the same numeric amounts regardless of payment currency unless we state otherwise in writing.

7.3 No subscription to QMetrics. Merchants are not required to provide a payment card to QMetrics for platform access. Platform Fees arise when Customers pay you through the Service (subject to trial terms).

7.4 Stripe processing fees. Stripe’s card and payment processing fees are separate, set by Stripe, and not included in the Platform Fee.

7.5 Changes. We may change fee percentages, tier thresholds, trial length, or billing mechanics at any time by updating the website or notifying you. Continued use after the effective date constitutes acceptance. We are not liable for errors in fee calculation; your remedy is a corrected future charge or credit at our discretion.

7.6 Taxes on Platform Fees. Platform Fees are exclusive of VAT or similar taxes where applicable. You are responsible for any taxes on amounts you pay us unless we are required by law to collect them.

7.7 No refunds of Platform Fees. Platform Fees are generally non-refundable, including where you refund a Customer, suffer a chargeback, or close your account, except where required by mandatory law.

8. Merchant representations and warranties

You represent, warrant, and covenant on each use of the Service that:

  • (a) all information you provide is true, complete, and not misleading;
  • (b) you have all licences, permits, and rights needed for your business and Merchant Content;
  • (c) your offerings comply with applicable law in every jurisdiction where you sell or market;
  • (d) you comply with Stripe’s terms, restricted business rules, and card network rules;
  • (e) you will honour valid Customer purchases, deliver goods/services as described, and handle complaints promptly;
  • (f) you will not use the Service for illegal, deceptive, or harmful activity;
  • (g) you obtain all required consents for data you collect from Customers;
  • (h) you are not insolvent and no bankruptcy or similar proceeding is pending; and
  • (i) your use of the Service will not cause QMetrics to violate any law or third-party obligation.

9. Prohibited uses

You must not use the Service to: process payments for prohibited or high-risk businesses (including those on Stripe’s restricted list); launder money; evade sanctions; infringe intellectual property; distribute malware; harass or discriminate; sell illegal goods; operate pyramid schemes; misrepresent pricing; collect payments without intent to deliver; scrape or reverse engineer the Service; overload systems; or circumvent fees or security. We may block transactions or accounts without notice.

10. Customer transactions

10.1 Merchant of record. You are the seller of record to your Customers. QMetrics is not a party to any sale contract.

10.2 Pricing and descriptions. You are solely responsible for accurate titles, descriptions, amounts (including donation minimums), currency, refunds policy, and delivery terms displayed on your payment page.

10.3 Support. Customers must contact you for order, refund, and product issues. QMetrics has no obligation to provide Customer support on your behalf.

10.4 Taxes. You are solely responsible for determining, collecting, reporting, and remitting all taxes (VAT, sales tax, income tax, etc.) related to your sales.

10.5 No tax services. For the avoidance of doubt, QMetrics does not provide tax advice, tax preparation, tax filing, VAT or sales tax registration, automatic tax calculation or collection, withholding services, or any other tax-related services. The Service may display amounts and transaction data for your records only; that is not tax advice and does not replace advice from a qualified accountant or tax professional. You are solely responsible for understanding and meeting your tax obligations in every jurisdiction where you operate.

11. Chargebacks, disputes, and negative balance

11.1 Your responsibility. You bear full responsibility for chargebacks, disputes, refunds, returns, and Customer claims. Platform Fees are not automatically reversed when you refund a Customer.

11.2 Stripe actions. Stripe may debit your Connect balance, impose reserves, or suspend payouts. QMetrics is not liable for any resulting loss of access to funds.

11.3 Reimbursement. If QMetrics incurs costs, fines, chargebacks, or Stripe assessments due to your activity, you will reimburse us on demand, in addition to your indemnity obligations below.

11.4 Payment disputes and refunds (no QMetrics involvement). Because payments go directly through Stripe to your connected account (and not through QMetrics), transaction disputes, chargebacks, refund requests, and related decisions by banks or card networks must be resolved directly between you, the Customer (or supporter), Stripe, and the relevant bank or payment provider. QMetrics does not decide who wins a dispute, does not process refunds on your behalf, and is not responsible for investigating or mediating payment disagreements. We do not act as an intermediary between you and a Customer, your bank, or Stripe for the financial outcome of a transaction. Our role is limited to providing software to present your offerings and start Stripe Checkout; the payment relationship is between you, Stripe, and the Customer.

12. Merchant Content and licence

12.1 You retain ownership of Merchant Content but grant QMetrics a worldwide, non-exclusive, royalty-free licence to host, display, reproduce, and use it solely to operate and promote the Service.

12.2 You warrant that Merchant Content does not violate any law or third-party right. You indemnify us for claims arising from Merchant Content.

12.3 We may remove or disable content that we believe violates these Terms or poses risk, without liability.

13. Data and privacy

13.1 Our handling of personal data is described in our privacy policy (when published) and driven by our role as a processor or controller as applicable.

13.2 You are responsible for your own privacy notices to Customers and for lawful basis to process Customer data you receive.

13.3 You acknowledge that data transmission over the internet is never fully secure. QMetrics is not liable for unauthorised access beyond our reasonable control.

14. Intellectual property of QMetrics

The Service, branding, software, and documentation are owned by QMetrics or licensors. No rights are granted except the limited right to use the Service per these Terms. You must not copy, modify, or create derivative works without written consent.

15. Confidentiality

Non-public information about our systems, pricing experiments, or security must not be disclosed without consent, except as required by law.

16. Service availability and changes

16.1 The Service may be unavailable due to maintenance, upgrades, third-party failures, or events beyond our control.

16.2 We may add, change, or remove features at any time without liability.

16.3 Beta or experimental features are provided “as is” with no warranties and may be discontinued without notice.

17. Suspension and termination

17.1 Absolute discretion. QMETRICS RESERVES THE RIGHT, IN ITS SOLE AND ABSOLUTE DISCRETION, TO SUSPEND, RESTRICT, OR TERMINATE YOUR MERCHANT ACCOUNT AND ACCESS TO THE SERVICE AT ANY TIME, FOR ANY REASON OR NO REASON, WITH OR WITHOUT PRIOR NOTICE. YOU HAVE NO RIGHT TO REMAIN ON THE PLATFORM.

17.2 Suspicious or harmful behaviour. Without limiting Section 17.1, we may act immediately (including permanent termination) if we believe, in our sole judgment, that you or your account are associated with:

  • fraud, misrepresentation, identity theft, or impersonation;
  • money laundering, terrorist financing, sanctions evasion, or other illegal activity;
  • unusually high chargebacks, disputes, refunds, or failed payments;
  • processing patterns inconsistent with your stated business or volume;
  • use of stolen cards, test fraud, or abusive Customer conduct;
  • circumvention of platform fees, security controls, or Stripe rules;
  • prohibited or restricted businesses under Stripe or card network rules;
  • complaints from Customers, Stripe, banks, or regulators;
  • any conduct that may expose QMetrics, Stripe, or other users to risk, liability, or reputational harm; or
  • any activity we consider suspicious, abusive, or inconsistent with safe operation of the Service.

17.3 Other grounds. We may also suspend or terminate for breach of these Terms, non-payment of amounts owed, false information, inactivity, requests by law enforcement or Stripe, or where continued service would violate applicable law.

17.4 Effect of termination. Upon suspension or termination: (a) your payment page and offerings may be disabled immediately; (b) pending checkouts may be cancelled; (c) you remain liable for Platform Fees, chargebacks, indemnities, and obligations incurred before or after termination; (d) we may withhold cooperation with payout or data export except as required by law; and (e) Stripe may separately limit or close your Connect account — QMetrics is not responsible for Stripe’s actions or for funds held by Stripe.

17.5 No liability for termination. To the fullest extent permitted by law, QMetrics will not be liable for any loss, cost, or damage arising from suspension or termination under this Section 17, including lost profits, Customer relationships, or data.

17.6 Your right to leave. You may stop using the Service at any time. Termination does not relieve you of obligations accrued before termination.

17.7 Survival. Provisions that by nature should survive (fees owed, disclaimers, liability limits, indemnity, governing law, this Section 17) survive termination.

18. Disclaimers

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE”. QMETRICS DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, SATISFACTORY QUALITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, AND ANY WARRANTIES ARISING FROM COURSE OF DEALING OR USAGE OF TRADE.

WITHOUT LIMITING THE FOREGOING, QMETRICS DOES NOT WARRANT THAT: (A) THE SERVICE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE; (B) DEFECTS WILL BE CORRECTED; (C) PAYMENTS, PAYOUTS, OR FEE TIERS WILL BE CALCULATED WITHOUT ERROR; (D) STRIPE OR ANY THIRD PARTY WILL PERFORM; OR (E) THE SERVICE WILL MEET YOUR REQUIREMENTS OR GENERATE REVENUE.

Any oral or written advice from QMetrics does not create a warranty.

19. Limitation of liability

19.1 Exclusion of damages. QMETRICS, ITS OWNERS, DIRECTORS, OFFICERS, EMPLOYEES, CONTRACTORS, AND SUPPLIERS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES; LOSS OF PROFITS, REVENUE, GOODWILL, DATA, OR BUSINESS; COST OF SUBSTITUTE SERVICES; OR BUSINESS INTERRUPTION, WHETHER BASED ON CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY, OR OTHERWISE, EVEN IF ADVISED OF THE POSSIBILITY.

19.2 Cap. QMETRICS’S TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE GREATER OF: (A) ONE HUNDRED POUNDS STERLING (£100); OR (B) THE TOTAL PLATFORM FEES YOU ACTUALLY PAID TO QMETRICS IN THE TWELVE (12) MONTHS IMMEDIATELY BEFORE THE EVENT GIVING RISE TO THE CLAIM.

19.3 THESE LIMITATIONS APPLY TO THE FULLEST EXTENT PERMITTED BY LAW AND APPLY REGARDLESS OF THE FAILURE OF ESSENTIAL PURPOSE OF ANY LIMITED REMEDY.

19.4 Nothing in these Terms excludes or limits liability that cannot be excluded or limited under applicable law (including fraud, death or personal injury caused by negligence where such limitation is prohibited).

20. Indemnification

20.1 You will defend, indemnify, and hold harmless QMetrics and its affiliates, and their respective owners, directors, officers, employees, and agents, from and against any claims, demands, actions, losses, liabilities, damages, penalties, fines, and expenses (including reasonable solicitors’ fees and costs) arising out of or related to: (a) your use of the Service; (b) Merchant Content; (c) your products, services, or Customer relationships; (d) breach of these Terms or applicable law; (e) tax disputes; (f) chargebacks or payment disputes; (g) interaction with Stripe or Customers; or (h) negligence or wilful misconduct by you or your personnel.

20.2 We may assume exclusive control of any matter subject to indemnification (at your expense), and you will cooperate fully.

20.3 This indemnity is in addition to any other remedies and survives termination.

21. Release

To the fullest extent permitted by law, you release QMetrics from claims, demands, and damages of every kind, known and unknown, arising out of disputes with Customers, Stripe, or other third parties, except where such release is prohibited by law.

22. Force majeure

QMetrics is not liable for delay or failure due to events beyond our reasonable control, including acts of God, war, terrorism, labour disputes, internet or telecommunications failures, power outages, government actions, pandemics, or failures of Stripe or hosting providers.

23. Compliance and regulatory matters

You are solely responsible for regulatory compliance in your industry and territory (including consumer protection, distance selling, financial promotions, and anti-money-laundering where applicable). QMetrics may report activity to authorities or Stripe where required or appropriate. You will cooperate with reasonable compliance requests.

24. Changes to these Terms

We may modify these Terms at any time by posting an updated version with a new “Last updated” date. Material changes may also be sent to your account email. Your continued use after the effective date constitutes acceptance. If you do not agree, you must stop using the Service.

25. Governing law and jurisdiction

25.1 These Terms are governed by the laws of England and Wales, without regard to conflict-of-law principles.

25.2 The courts of England and Wales have exclusive jurisdiction over disputes, except that QMetrics may bring proceedings in any court of competent jurisdiction to protect its intellectual property or enforce payment obligations.

25.3 If you are a consumer in a jurisdiction with mandatory protections, nothing in these Terms deprives you of rights that cannot be waived by contract.

26. Disputes and time limit

Any claim against QMetrics must be brought within one (1) year after the event giving rise to the claim, or it is permanently barred, to the extent permitted by law.

27. General

27.1 Entire agreement. These Terms constitute the entire agreement regarding the Service and supersede prior understandings.

27.2 Severability. If any provision is invalid, the remainder remains in effect and the invalid provision is replaced with a valid one closest to the original intent.

27.3 No waiver. Failure to enforce any right is not a waiver.

27.4 Assignment. You may not assign these Terms without our written consent. We may assign freely.

27.5 Third-party rights. No person other than you and QMetrics has rights under the Contracts (Rights of Third Parties) Act 1999, except affiliates may enforce indemnity and IP provisions.

27.6 Notices. We may provide notices via email, the dashboard, or the website. You are responsible for keeping your email current.

27.7 Interpretation. Headings are for convenience only. “Including” means “including without limitation”.
